These terms (“Terms”) govern participation in the Healio Collective, the affiliate partner program (the “Program”) operated by Healio Peptides (“Healio,” “we,” “us”). By applying to or participating in the Program, you (“Partner,” “you”) agree to these Terms in full. If you do not agree, do not participate.
1. The Program
The Healio Collective allows approved Partners to earn commissions by referring qualifying customers to healiopeptides.com through a unique referral link we assign to you. The Program is offered at our discretion, and acceptance into the Program is by application only. We may decline any application for any lawful reason, without obligation to explain the decision.
2. Eligibility & Enrollment
- You must be at least 21 years of age and able to form a binding contract.
- You must provide accurate, current, and complete information in your application and keep it updated.
- You may not participate if you, your content, or your audience are primarily located in a jurisdiction where promotion of research compounds is unlawful.
- Enrollment begins only when we notify you in writing (email suffices) that your application has been approved and issue your referral link.
3. Referral Links & Attribution
- Each Partner receives a unique referral link. Only orders tracked through your link (or a Partner code we issue you) are eligible for commission.
- Attribution uses a 30-day cookie window: if a visitor clicks your link and completes a qualifying purchase within 30 days, the order is attributed to you, subject to last-click attribution where multiple Partners are involved.
- We are not responsible for untracked referrals caused by blocked cookies, cleared browser data, ad blockers, or a visitor using a different device or browser.
4. Commissions
- The base commission rate is 20% of the net product revenue of each qualifying order, unless a different rate is stated in your approval email or partner dashboard, which then controls.
- “Net product revenue” excludes taxes, shipping and handling, discounts funded by Healio, payment-processing adjustments, and any refunded, charged-back, cancelled, or fraudulent amounts.
- Commissions are not earned on your own purchases, on orders placed using your own referral link by members of your household, or on orders that violate our Terms of Service.
- We may adjust or reverse commissions for returns, chargebacks, fraud, or tracking errors, including after payout, by offsetting future balances.
5. Payouts
- Approved commissions are paid monthly, in arrears, once your accrued balance reaches the minimum payout threshold of $50 USD. Balances below the threshold roll forward.
- Commissions become eligible for payout after the applicable return window for the underlying order has closed.
- Payouts are made by the method(s) we make available (e.g., PayPal or bank transfer). You are responsible for providing accurate payout details and for all taxes on amounts you receive. If requested, you must provide a completed tax form (e.g., IRS Form W-9 or W-8) before payout.
6. Promotional Standards
The credibility of the Collective depends on how its members speak. As a Partner you agree to the following, without exception:
- Research-use positioning. Healio products are supplied strictly for in-vitro research and laboratory development use. You must never state or imply that they are for human or veterinary consumption, personal use, or cosmetic use, and you must never describe personal consumption or its effects.
- No medical claims. You must not claim or imply that any Healio product diagnoses, treats, cures, mitigates, or prevents any disease or condition, and you must not present anecdotes, testimonials, or “results” that imply human use.
- FTC disclosure. You must clearly and conspicuously disclose your material connection to Healio in every piece of content containing your referral link, in accordance with the FTC’s Endorsement Guides (e.g., “#ad,” “affiliate link,” or an equivalent unambiguous disclosure placed where it will be seen before the link).
- Truthfulness. All statements about Healio, our testing, and our products must be accurate and consistent with the information we publish. When in doubt, use the claims language in the Partner asset library.
- Audience. You must not direct promotion at persons under 21 or at audiences you know skew under 21.
7. Prohibited Activities
The following result in commission forfeiture and are grounds for immediate termination:
- Bidding on “Healio,” “Healio Peptides,” or confusingly similar terms (including misspellings) in paid search, or using them in domain names, handles, or app names.
- Sending unsolicited bulk messages (spam) containing your referral link, or placing links on coupon-scraper, forced-click, cookie-stuffing, or incentivized-traffic services.
- Misrepresenting yourself as Healio, an employee of Healio, or an official Healio account.
- Self-referrals, household referrals, or any scheme designed to generate commissions without bona fide third-party purchases.
- Publishing unauthorized discount codes, or advertising discounts that we have not approved in writing.
- Promoting Healio alongside unlawful content, or in any context that a reasonable person would consider deceptive, hateful, or exploitative.
8. Brand Assets & Intellectual Property
While enrolled, you have a limited, revocable, non-exclusive, non-transferable license to use the logos, imagery, and copy we provide through the Partner asset library, solely to promote Healio under these Terms. You may not alter our marks, create composite branding, or use assets after termination. All goodwill from your use of our marks inures to Healio. Content you create remains yours, but you grant us a non-exclusive license to reshare it, with credit, in connection with the Program.
9. Relationship of the Parties
Partners are independent contractors. Nothing in the Program creates an employment, agency, joint-venture, or partnership relationship. You have no authority to bind Healio, and you are solely responsible for your own taxes, insurance, and business expenses.
10. Term, Suspension & Termination
- These Terms apply from your approval date until terminated. Either party may terminate at any time, with or without cause, by written notice (email suffices).
- We may suspend or terminate your participation immediately for any violation of Sections 6 or 7, for conduct we reasonably believe harms the brand, or where required by law.
- On termination without cause, validly earned and approved commissions above the payout threshold will be paid in the normal cycle. On termination for cause, unpaid commissions are forfeited to the extent permitted by law.
11. Limitation of Liability
To the maximum extent permitted by law, Healio’s total aggregate liability arising out of the Program will not exceed the total commissions paid to you in the six (6) months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, even if advised of the possibility. The Program is provided “as is,” and we do not guarantee tracking availability, conversion rates, or earnings of any amount.
12. Indemnification
You will defend, indemnify, and hold harmless Healio and its owners, officers, and personnel from any claim, loss, or expense (including reasonable attorneys’ fees) arising from your content, your promotional activity, your breach of these Terms, or your violation of any law or third-party right.
13. Modifications
We may update these Terms, commission rates, or Program mechanics prospectively at any time by posting revised Terms on this page and, for material changes, notifying active Partners by email. Continued participation after the effective date constitutes acceptance. Changes do not apply retroactively to commissions already earned.
14. Governing Law
These Terms are governed by the laws of the United States and of the state in which Healio Peptides is organized, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in that state, and each party consents to their jurisdiction.
